The Annual Meeting of Stockholders is typically held around late May in the year following the Company’s fiscal year-end. For example, the 2016 annual meeting was held on May 10, 2016 for the year ending December 31, 2015. What is the difference between Basic shares outstanding and Diluted shares outstanding for Earnings Per Share calculations?
Basic earnings per share are calculated by dividing net earnings by the weighted-average number of shares of common stock outstanding during the period. Diluted earnings per share are calculated similarly but include potential dilution from the exercise of stock options and stock awards, except when the effect would be anti-dilutive.
In a 3-for-2 stock split, one additional share is issued for every two shares held. If you held 100 shares before the stock split, you will now have 150 shares (i.e. multiply the number of shares by 1.5 for the new total).
Does Diodes Incorporated pay a cash dividend on its common stock?
We have never declared or paid cash dividends on our Common Stock, and currently do not intend to pay dividends in the foreseeable future as we intend to retain any earnings for use in our business. The payment of dividends is within the discretion of our Board of Directors, and will depend upon, among other things, our earnings, financial condition, capital requirements, bank covenants and general business conditions.
