WESTLAKE VILLAGE, Calif., Aug. 25 /PRNewswire-FirstCall/ -- Diodes Incorporated (Nasdaq: DIOD) today announced that it has filed a Registration Statement on Form S-3 with the Securities and Exchange Commission for a proposed public offering of 2,500,000 shares of its common stock The filing provides for the sale of 1,750,000 shares by the Company and 750,000 by Lite-On Semiconductor Corporation, the Company's largest shareholder. In addition, the Company has granted the underwriters an option to purchase up to an additional 375,000 shares to cover over-allotments, if any. The underwriters will have 30 days from the date of the final prospectus to exercise the option.

UBS Investment Bank is acting as the book-running manager for the offering. A.G. Edwards & Sons, Inc., C.E. Unterberg, Towbin, LLC, Raymond James & Associates, Inc. and WR Hambrecht + Co, LLC are acting as co-managers of the offering.
