|
Entry into a Material Definitive Agreement. |
On June 9, 2008, Diodes Incorporated (the Company) entered into an Amendment to Addendum to
Clients Agreement and Terms and Conditions for Irrevocable Standby Letter of Credit (the
Amendment). Under the Amendment, commencing June 9, 2008, the Companys loan from UBS Financial
Services Inc. (UBS), in an aggregate amount of U.S.$165 million, which was incurred in connection
with the Companys acquisition of Zetex plc (Zetex), shall be charged interest at a floating rate
of interest per annum equal to the sum of the prevailing daily 30-day LIBOR plus 1.25% and may
include the compounding of interest.
The foreoing summary of the Amendment is qualified in its entirety by the copy of the
Amendment attached hereto as Exhibit 99.1 and incorporated herein by reference. The
Addendum to Clients Agreement and Terms and Conditions for Irrevocable Standby Letter of Credit
and other related documents have been filed with the SEC as exhibits to the Companys Current
Report on Form 8-K filed April 4, 2008 and are incorporated herein by reference.

Completion of Acquisition or Disposition of Assets. |
On June 9, 2008, the Company completed its acquisition of the outstanding ordinary capital
stock of Zetex pursuant to the Implementation Deed dated April 4, 2008, between the Company and
Zetex, whereby the shareholders of Zetex will receive 85.45 pence in cash per Zetex ordinary share,
valuing the fully diluted share capital of Zetex at approximately U.S.$176.3 million (based on a
U.S.$:GBP£ exchange rate of 1.9778). The Implementation Deed has been filed with the SEC as
Exhibit 10.10 to the Companys Quarterly Report on Form 10-Q filed May 12, 2008 and is
incorporated herein by reference.
The consideration payable in connection with the acquisition was funded by a combination of
the Companys cash resources and certain financing arrangements. The financing arrangements are
described in the Companys Current Report on Form 8-K filed April 4, 2008 under Item 2.03.,
Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement
of a Registrant, which description is incorporated herein by reference.

AMENDMENT TO ADDENDUM TO CLIENTS AGREEMENT AND TERMS AND CONDITIONS
FOR IRREVOCABLE STANDBY LETTER OF CREDIT
This Amendment (Amendment), effective as of June 9, 2008, shall amend the existing Addendum
to Clients Agreement and Terms and Conditions for Irrevocable Standby Letter of Credit dated as of
March 28, 2008, (Addendum) by and between UBS Financial Services Inc. (UBS Financial Services)
and Diodes Incorporated (Client). Defined terms used herein shall have the respective meanings
set forth in the Addendum unless otherwise defined herein.
WHEREAS, UBS Financial Services and the Client desire to amend the Addendum.
NOW, THEREFORE, with the foregoing incorporated herein by reference and made a party hereof,
UBS Financial Services and the Client, intending to be legally bound, and in consideration of the
mutual covenants and promises contained herein, hereby agree as follows:
1. Section 4 of the Addendum is amended in its entirety to read as follows:
The first sentence of Section 9 of the Clients Agreement is amended in its entirety to read
as follows:
All amounts advanced and other balances due shall be charged interest at a floating
rate of interest per annum equal to the sum of the prevailing daily 30-day LIBOR plus 1.25%
and in accordance with your usual custom, which may include the compounding of interest,
including any increases in rates which reflect adjustments in 30-day LIBOR.
2. In all other respects, the terms and provisions of the Addendum and the Clients Agreement
and the Terms and Conditions remain unamended and in full force and effect.
3. The Client represents and warrants to UBS Financial Services that (i) it has the full
right, power and authority to make, execute and deliver this Amendment and perform its obligations
under this Amendment, the Clients Agreement and Terms and Conditions to which it is a party, and
(ii) this Amendment, the Clients Agreement and the Terms and Conditions to which it is a party
constitute the legal, valid and binding obligations of the Client enforceable in accordance with
their respective terms.
4. This Amendment may be signed in multiple original counterparts, each of which shall be
deemed an original and all of which together shall constitute one and the same instrument.
5. This Amendment shall be governed by and construed in accordance with the laws of the State
of New York.
6. This Amendment shall not become effective and binding upon UBS Financial Services until
this Amendment has been executed by the Client and accepted by UBS Financial Services at its home
office.

Diodes Incorporated Closes Acquisition of Zetex plc
DALLAS, TEXAS June 9, 2008 Diodes Incorporated (NASDAQ:DIOD), a leading global
manufacturer and supplier of application specific standard products within the broad discrete and
analog semiconductor markets, today announced that it has completed its acquisition of Zetex plc
(LSE: ZTX) in an all cash deal.
This acquisition offers the following potential revenue, operating and cost synergies:
