that its Annual Meeting of Stockholders will be held on Thursday, May
28, 2009, starting at 10:00 a.m. (Central Time) at the Dallas/Addison
Marriott Quorum by the Galleria, located at 14901 Dallas Parkway,
Dallas, Texas 75254. Diodes’ President and Chief Executive Officer, Dr.
Keh-Shew Lu, will be making a brief presentation.
Diodes has adopted the Notice and Access rule for its 2009 Annual
Meeting of Stockholders. The Securities and Exchange Commission
implemented the Notice and Access rule on January 1, 2008, allowing
companies to furnish proxy materials available to stockholders via the
Internet as an alternative to the traditional approach of delivering a
printed set to each stockholder. Under the Notice and Access rule, a
company would mail the “Notice of Internet Availability of Proxy
Materials” to its stockholders, provide Internet access to the proxy
materials and provide a printed set of proxy materials by mail to any
stockholder who requests them. Diodes began mailing the “Notice of
Internet Availability of Proxy Materials” to stockholders of record on
or about April 17, 2009. Stockholders may obtain hard copies of Diodes’
proxy materials free of charge by following the instructions provided on
